Welcome to Codreddy, a free-to-play fantasy cricket platform operated by YARUNARA TECHNOLOGIES PRIVATE LIMITED (hereinafter referred to as "Codreddy," "we," "us," or "our"). These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Codreddy.

Codreddy provides an educational and entertainment platform for fantasy cricket where users can create virtual teams, compare skills with other users, and appear on leaderboards. Our platform operates on a completely free-to-play model with no real money involved, no entry fees, and no monetary prizes.

By creating an account, accessing our website at Codreddy.com, or using any of our services, you confirm that:

• You are at least 18 years of age
• You have the legal capacity to enter into binding contracts
• You are not located in any restricted state as specified in Section 3
• You agree to comply with all applicable laws and regulations
• All information provided during registration is accurate and truthful

2.1 Platform Overview

Codreddy is a Daily Fantasy Sports (DFS) platform specifically designed for educational and entertainment purposes. The platform allows users to:

• Create fantasy cricket teams by selecting real cricket players
• Participate in contests based on upcoming cricket matches
• Earn points based on the real-life performance of selected players
• View rankings on leaderboards and compare strategies with other users
• Learn cricket analytics and improve strategic thinking skills

2.2 Free-to-Play Model

Codreddy operates exclusively as a free-to-play platform. This means:

• No Entry Fees: Users are never required to pay any money to participate in any contest
• No Real Money Prizes: Winners do not receive any monetary rewards, cash prizes, or items of monetary value
• No Wagering: The platform does not involve betting, gambling, or wagering of any kind

3.1 Age Requirement

Users must be at least 18 years of age to register and use Codreddy's services. By creating an account, you represent and warrant that you meet this age requirement. We reserve the right to request proof of age at any time and may suspend or terminate accounts that fail to provide adequate verification.

3.2 Restricted States

In compliance with Indian state regulations, Codreddy services are NOT available to residents of the following states:

Users from these states are prohibited from registering or using Codreddy services. Any accounts found to be in violation of this restriction will be immediately suspended or terminated without prior notice.

3.3 Verification Process

During registration, users must provide accurate information regarding their age and state of residence. Codreddy reserves the right to:

• Use IP address tracking and other technical means to determine user location
• Suspend accounts pending verification
• Permanently terminate accounts that provide false information

4.1 Account Registration

To use Codreddy's services, you must create an account by providing:

• Your full name

• Your state of residence

4.2 Account Security

• Log out from your account at the end of each session

4.3 Account Limitations

Each user is permitted only one account. Creating multiple accounts is strictly prohibited and may result in permanent suspension of all associated accounts. Accounts are non-transferable and cannot be sold, gifted, or shared with others.

4.4 Account Termination

You may terminate your account at any time by contacting us at [email protected]. Codreddy reserves the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion.

Users agree not to engage in any of the following prohibited activities:

• Providing false, inaccurate, or misleading information during registration or use
• Creating multiple accounts or using automated systems (bots) to create teams
• Attempting to manipulate, exploit, or gain unfair advantage in contests
• Colluding with other users to manipulate leaderboard rankings
• Accessing another user's account without authorization
• Reverse engineering, decompiling, or attempting to extract source code
• Using the platform for any commercial purpose without written permission
• Transmitting viruses, malware, or any harmful code
• Harassing, threatening, or abusing other users
• Posting offensive, defamatory, or inappropriate content
• Violating any applicable local, state, national, or international law
• Attempting to circumvent geographical restrictions

Violation of these prohibitions may result in immediate account suspension or termination, and Codreddy reserves the right to pursue legal action if necessary.

6.1 Ownership

All content, features, and functionality of the Codreddy platform, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof (collectively, the "Content"), are the exclusive property of YARUNARA TECHNOLOGIES PRIVATE LIMITED and are protected by Indian and international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Codreddy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for personal, non-commercial purposes in accordance with these Terms. This license does not include any right to:

• Modify, copy, distribute, transmit, display, perform, reproduce, publish, license, or create derivative works from the Content
• Use the Content for commercial purposes or public display
• Remove any copyright or proprietary notices from the Content
• Transfer the Content to another person or entity

6.3 Trademarks

"Codreddy" and related logos, graphics, and service names are trademarks of YARUNARA TECHNOLOGIES PRIVATE LIMITED. You may not use these trademarks without our prior written permission.

6.4 User Content

By submitting content to Codreddy (such as team names, profile information, or communications), you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with operating the platform. You represent and warrant that you own or have the necessary rights to submit such content.

7.1 "As Is" Basis

The Codreddy platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

7.2 No Guarantee of Accuracy

While we strive to provide accurate player statistics, match information, and scoring data, Codreddy does not warrant that:

• The platform will be uninterrupted, timely, secure, or error-free
• The results obtained from using the platform will be accurate or reliable
• Any errors in the software will be corrected
• Player statistics and match data are complete or current
• The platform will meet your specific requirements or expectations

7.3 Third-Party Content

Codreddy may display content from third-party sources, including cricket statistics, match schedules, and player information. We are not responsible for the accuracy, completeness, or reliability of such third-party content. We do not endorse, warrant, or guarantee any third-party products or services referenced on the platform.

7.4 Technical Issues

Codreddy is not liable for any technical issues, including but not limited to server downtime, network connectivity problems, data loss, or software bugs that may affect your use of the platform. We recommend maintaining backups of any important information.

7.5 Limitation of Liability

To the fullest extent permitted by applicable law, YARUNARA TECHNOLOGIES PRIVATE LIMITED shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the platform
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the platform
• Any bugs, viruses, or the like that may be transmitted through the platform by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content
• The conduct or content of any third party on the platform

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you paid to use the platform (which is zero, as the platform is free).

8.1 Terms Updates

Codreddy reserves the right to modify these Terms at any time. We will notify users of material changes by:

• Posting the updated Terms on our website with a new "Last Updated" date
• Sending an email notification to your registered email address
• Displaying a prominent notice on the platform

Your continued use of the platform after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the platform immediately.

8.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of the platform at any time, with or without notice. This includes, but is not limited to:

• Adding, removing, or modifying features and functionality
• Changing scoring rules or point systems
• Altering contest formats or match availability
• Updating user interface and design elements
• Implementing new technical requirements or restrictions

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the platform.

8.3 Force Majeure

Codreddy shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The courts of Pune, Maharashtra shall have exclusive jurisdiction over any disputes arising from these Terms or your use of the platform.

9.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or your use of Codreddy shall first be attempted to be resolved through good faith negotiations between you and Codreddy. Either party may initiate negotiations by sending written notice to the other party describing the nature of the dispute.

If the dispute cannot be resolved through negotiations within thirty (30) days, either party may proceed to arbitration as described below.

9.3 Arbitration

If negotiations fail, the dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties. If the parties cannot agree on an arbitrator within fifteen (15) days, the arbitrator shall be appointed by the court having jurisdiction.

The arbitration shall be conducted in English and shall take place in Pune, Maharashtra. The arbitrator's decision shall be final and binding on both parties. Each party shall bear its own costs of arbitration, unless the arbitrator determines otherwise.

9.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10.1 Entire Agreement

These Terms, together with our Privacy Policy, Fair Play Policy, and Responsible Gaming Policy, constitute the entire agreement between you and Codreddy regarding your use of the platform and supersede all prior agreements, understandings, and communications, whether written or oral.

10.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

10.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Codreddy's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

10.4 Assignment

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, by operation of law or otherwise, without our prior written consent. Codreddy may assign these Terms at any time without restriction or notification. Any attempted assignment in violation of this section shall be null and void.

10.5 Relationship of Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Codreddy. You have no authority to bind Codreddy in any manner whatsoever.

10.6 Survival

The following sections shall survive termination of these Terms: Intellectual Property Rights, Disclaimers and Limitations, Governing Law and Dispute Resolution, and Miscellaneous Provisions.

10.7 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.

10.8 Electronic Communications

By using Codreddy, you consent to receive electronic communications from us. These communications may include notices about your account, transactional information, and other information concerning or related to the platform. You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

10.9 Third-Party Rights

These Terms do not confer any third-party beneficiary rights. No person or entity not party to these Terms shall have any right to enforce any provision of these Terms.

The section headings in these Terms are for convenience only and have no legal or contractual effect.
